1. Introduction

These Terms & Conditions (“Terms”) establish the agreement between Constravax (“Constravax,” “we,” “our,” or “the Company”) and any individual, company, contractor, fabricator, engineer, organization, or entity (“Client,” “you,” or “your”) that requests or receives professional services from Constravax.

Constravax provides professional Rebar Estimating and Rebar Detailing services, including but not limited to:

  • Reinforcement steel estimating.
  • Material quantity takeoffs.
  • Rebar detailing.
  • Reinforcement drawings.
  • Bar Bending Schedules (BBS).
  • Shop drawing preparation.
  • Revision services.
  • Construction documentation support.

By requesting services, submitting project information, approving a proposal, or engaging with Constravax, the Client agrees to be bound by these Terms.

2. Scope of Services

Constravax provides specialized technical support services based on the information, documents, and requirements provided by the Client.

Services may include:

  • Reviewing construction documents.
  • Interpreting reinforcement requirements.
  • Preparing quantity estimates.
  • Developing rebar detailing documents.
  • Preparing project deliverables according to agreed specifications.
  • Incorporating approved revisions within the agreed scope.

The specific scope, deliverables, schedule, pricing, and requirements for each project will be defined through a proposal, quotation, agreement, or written communication between Constravax and the Client.

3. Client Responsibilities

The Client is responsible for providing accurate, complete, and current project information necessary for Constravax to perform the requested services.

The Client agrees to provide:

  • Complete project drawings.
  • Current design documents.
  • Applicable specifications.
  • Required standards or project requirements.
  • Revision information.
  • Any additional information necessary for proper execution.

Constravax is not responsible for delays, errors, additional costs, or inaccurate deliverables resulting from incomplete, outdated, conflicting, or incorrect information provided by the Client or other project parties.

4. Construction Documents and Project Information

The Client acknowledges that Constravax may receive confidential project information, including:

  • Architectural drawings.
  • Structural drawings.
  • Reinforcement plans.
  • Engineering documents.
  • Specifications.
  • Construction details.
  • Project schedules.
  • Quantity requirements.

The Client represents that they have the necessary rights, authorization, or permission to provide such documents to Constravax for professional service purposes.

The Client remains responsible for ensuring that submitted documents are authorized for use and review.

5. Professional Responsibility and Limitations

Constravax provides estimating and detailing support services based on information provided by the Client and applicable project requirements.

Constravax does not replace or assume the responsibilities of:

  • Licensed structural engineers.
  • Architects.
  • Design professionals.
  • General contractors.
  • Project owners.
  • Authorities having jurisdiction.

Unless specifically agreed otherwise in writing, Constravax does not:

  • Provide structural engineering calculations.
  • Approve structural designs.
  • Modify engineering intent.
  • Certify construction compliance.
  • Act as the engineer of record.

Final responsibility for design approval, structural adequacy, construction methods, and compliance remains with the appropriate licensed professionals and project stakeholders.

6. Proposals, Quotes, and Project Acceptance

Before beginning work, Constravax may provide a proposal or quotation describing:

  • Project scope.
  • Estimated delivery timeline.
  • Pricing.
  • Included services.
  • Assumptions and exclusions.

A project is considered accepted when the Client:

  • Approves the proposal.
  • Authorizes work in writing.
  • Provides project documents for execution.
  • Begins the engagement process.

Once work begins, the Client agrees to the applicable scope and payment terms.

7. Project Revisions and Additional Work

Constravax understands that construction projects may require modifications.

Revisions included within the original scope will be handled according to the agreed project terms.

Additional work may occur when:

  • New drawings are issued.
  • Project scope changes.
  • Additional areas are added.
  • Previous information becomes outdated.
  • Additional coordination is required.
  • Client requests changes beyond the original agreement.

Additional services may be billed separately according to the applicable hourly rate or revised project quotation.

8. Deliverables and Review Process

Upon completion, Constravax will provide the agreed project deliverables through the agreed delivery method.

The Client is responsible for reviewing submitted deliverables within a reasonable timeframe.

The Client should notify Constravax of:

  • Missing information.
  • Required corrections.
  • Scope-related issues.
  • Reasonable revisions included within the agreement.

Approval, acceptance, or continued use of deliverables indicates acceptance of the completed work.

9. Payment Terms

Constravax provides flexible payment arrangements depending on project requirements and client agreement.

Payments are processed through approved payment platforms, including:

Payoneer

The Client agrees to provide accurate payment information and complete payments according to the agreed payment schedule.

10. Payment Method Options

10.1 Payment Upon Delivery

Under this arrangement:

  • Constravax completes the agreed project scope.
  • Deliverables are submitted to the Client for review.
  • The Client reviews the completed work.
  • Payment becomes due after the review process according to the agreed terms.

Client review is intended to verify completion of the agreed scope and does not constitute unlimited revisions or reopening of completed work.

10.2 Monthly Accumulated Billing

For ongoing clients or multiple active projects, Constravax may provide monthly consolidated billing.

Under this arrangement:

  • Completed services during the billing period are accumulated.
  • A monthly invoice is issued.
  • The Client agrees to pay the invoice according to the agreed payment terms.

Monthly billing may include:

  • Multiple estimating projects.
  • Multiple detailing projects.
  • Approved revisions.
  • Additional services.

11. Late Payments

Payments not received according to the agreed terms may result in:

  • Suspension of ongoing work.
  • Delayed delivery of future deliverables.
  • Temporary restriction of services.

Constravax reserves the right to pause work until outstanding balances are resolved.

12. Ownership of Deliverables

Upon full payment of applicable invoices, the Client receives the right to use the completed deliverables for their intended project purpose.

Before full payment:

  • Deliverables remain the property of Constravax.
  • The Client may not distribute, resell, or commercially use unpaid deliverables.

Constravax retains ownership of:

  • Internal processes.
  • Templates.
  • Standards.
  • Methodologies.
  • Workflows.
  • Proprietary systems used to create deliverables.

13. Confidentiality

Constravax understands that project information may be confidential.

Constravax agrees to:

  • Protect client information.
  • Limit access to authorized personnel.
  • Use project documents only for agreed services.
  • Avoid unauthorized disclosure.

The Client also agrees not to disclose Constravax proprietary methods, templates, processes, or internal documentation without written authorization.

14. Intellectual Property

All original methodologies, systems, workflows, templates, and internal resources developed by Constravax remain the exclusive property of Constravax.

Project-specific deliverables created for the Client may be used by the Client for the intended construction project after payment completion.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Constravax shall not be liable for:

  • Construction errors caused by third parties.
  • Design errors originating from client-provided documents.
  • Structural decisions made by licensed professionals.
  • Project delays caused by external factors.
  • Incorrect information supplied by the Client.
  • Changes made after delivery without Constravax approval.

Constravax’s responsibility is limited to providing the contracted estimating and detailing services with reasonable professional care.

16. Force Majeure

Constravax shall not be responsible for delays caused by circumstances beyond reasonable control, including:

  • Natural disasters.
  • Internet interruptions.
  • Platform failures.
  • Government actions.
  • Labor disruptions.
  • Other unforeseen events.

17. Termination of Services

Either party may terminate an engagement by written notice.

The Client remains responsible for payment of:

  • Completed work.
  • Approved services.
  • Additional work performed before termination.

Constravax may terminate or suspend services if:

  • Payments are overdue.
  • Required information is not provided.
  • Confidentiality obligations are violated.
  • The engagement becomes unsuitable or impossible to perform.

18. Governing Terms

These Terms represent the general conditions governing services provided by Constravax.

Specific project agreements, proposals, or written contracts may include additional conditions applicable to individual engagements.

19. Updates to These Terms

Constravax may update these Terms periodically to reflect changes in:

  • Business operations.
  • Services.
  • Legal requirements.
  • Payment procedures.

Updated versions will be published with the revised effective date.
